Wadi Bodega is operated by Wadi Bodega Establishment (مؤسسة وادي بوديقا), a registered establishment in the Kingdom of Saudi Arabia under Commercial Registration Number 7054677823. The terms “Wadi Bodega”, “we”, “us” and “our” refer to Wadi Bodega Establishment. Wadi Bodega operates this store and website, including all related information, content, features, tools, products and services in order to provide customers with a curated shopping experience (the “Services”). Wadi Bodega is powered by Shopify, which enables us to provide the Services to you.
The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.
Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.
By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your area of residence, and you have given us your consent to allow any of your minor dependents to use the Services on devices you own, purchase or manage.
To use the Services, including accessing or browsing our online stores or purchasing any of the products or services we offer, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores is correct, current and complete and that you have all rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all of your account activity. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - OUR PRODUCTS, CONDITION AND AUTHENTICITY
Wadi Bodega specializes in luxury, collectible, limited-production, discontinued, vintage and pre-owned products. Unless a product is expressly described as brand new, customers should expect characteristics consistent with its stated age, history and condition.
We make every reasonable effort to describe and photograph each product accurately. Unless expressly stated otherwise, product photographs depict the actual item offered for sale. Colours, finishes and other visual characteristics may appear differently depending on lighting, photography, screen settings and the device used to view the Services.
The condition description, photographs and expressly disclosed characteristics of a product form part of its description. Characteristics such as hairlines, patina, oxidation, signs of prior handling, ageing, previous use or other condition characteristics that are expressly disclosed or reasonably visible in the product photographs shall not, by themselves, constitute undisclosed defects. Nothing in this paragraph limits any rights relating to defects that were not disclosed or that Wadi Bodega may not lawfully exclude.
Only accessories, packaging, certificates, papers, straps, boxes or other accompanying materials expressly stated in the product listing are included with the product.
For watches, unless expressly stated otherwise, Wadi Bodega does not represent that a pre-owned or vintage watch continues to meet its original manufacturer's specifications for accuracy, power reserve, water resistance or other performance characteristics. Water resistance should not be relied upon unless the listing expressly states that the watch has been recently tested for that purpose.
Any manufacturer's warranty is included only where expressly stated in the product listing and remains subject to the manufacturer's own terms, eligibility requirements and transferability rules. Wadi Bodega does not guarantee that a manufacturer will provide warranty or after-sales service unless expressly stated.
Wadi Bodega is an independent reseller and is not affiliated with, endorsed by or authorized by the brands whose products may be offered through the Services unless expressly stated otherwise. Brand names and trademarks are used for identification and descriptive purposes and remain the property of their respective owners.
Statements concerning rarity, collectibility, historical market prices, scarcity or potential desirability are descriptive in nature and do not constitute investment advice or a guarantee of future value, resale price, liquidity or appreciation.
Where a collectible or historical item is accompanied by information concerning provenance, attribution, ownership history or historical context, such information may be based on documentation, archival material, research or third-party representations identified or available in connection with the item. Unless expressly stated as independently certified, such information should not be understood as independent third-party certification by Wadi Bodega.
SECTION 3 - ORDERS
When you submit an order, you are requesting to purchase the applicable product on the terms displayed at the time of purchase. Receipt of payment or an automated order acknowledgement does not by itself constitute final acceptance of the order and does not prevent Wadi Bodega from carrying out reasonable order, payment, inventory or fraud-verification checks where necessary. Unless Wadi Bodega expressly confirms acceptance earlier, an order is accepted when Wadi Bodega sends confirmation that the order has been approved for fulfilment or dispatched.
Subject to applicable law, Wadi Bodega may decline or cancel an order prior to final acceptance where a product is unavailable, a material pricing or listing error has occurred, payment has failed or been reversed, information necessary to complete the order cannot reasonably be verified, or there are reasonable grounds to suspect fraud, unauthorized payment or unlawful activity. Where payment has already been collected for an order that is lawfully cancelled by Wadi Bodega, the applicable amount will be refunded in accordance with applicable law.
Customers must review their order and delivery information carefully before submitting it.
Returns, exchanges and refunds are governed by our Refund Policy and by any mandatory rights available to the customer under applicable law. Nothing in our Refund Policy or these Terms limits a right that cannot lawfully be excluded or restricted.
You represent that products purchased through the Services are purchased for legitimate purposes and not in connection with unlawful or fraudulent activity.
SECTION 4 - PRICES, TAXES AND BILLING
Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email.
Prices displayed to customers in the Kingdom of Saudi Arabia are inclusive of Value Added Tax (VAT) at the applicable rate. Wadi Bodega Establishment is registered for VAT with the Zakat, Tax and Customs Authority (ZATCA) under VAT Registration Number 314873631500003.
For orders delivered outside the Kingdom of Saudi Arabia, Saudi VAT will be applied in accordance with the applicable tax treatment. Such orders may also be subject to customs duties, import taxes, destination-country VAT, clearance fees, handling charges or other charges imposed by the destination country, customs authority or carrier. Unless expressly stated otherwise at checkout or in writing by Wadi Bodega, such destination charges are not included in the purchase price and are the responsibility of the recipient, except where applicable law requires Wadi Bodega to collect or remit them.
Prices posted in our online store may differ from prices offered through other sales channels or third parties. We may offer promotions from time to time, which may be subject to separate terms and conditions. If there is a conflict between the terms of a promotion and these Terms, the promotion terms will govern.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You agree to promptly update your account and other information so that we can complete transactions and contact you as needed.
You represent and warrant that the payment information you provide is true, correct and complete, that you are authorized to use the applicable payment method, and that you will pay all amounts due in connection with your order, including any applicable charges imposed in accordance with these Terms.
SECTION 5 - SHIPPING AND DELIVERY
Delivery times displayed or communicated by Wadi Bodega are estimates unless a specific delivery date has been expressly agreed. Delays may occur due to carriers, customs procedures, regulatory requirements, weather, force majeure or other circumstances outside our reasonable control.
Wadi Bodega will notify the customer of any known or anticipated delay or difficulty that may materially affect delivery. Nothing in this Section limits any right available to the customer under applicable law in relation to delayed delivery.
Orders delivered outside Saudi Arabia may be subject to customs duties, import taxes, destination-country VAT, clearance fees or similar charges. Unless expressly stated otherwise at checkout or in writing by Wadi Bodega, these charges are the responsibility of the recipient.
Customers are responsible for providing complete and accurate delivery information and for reasonably cooperating with Wadi Bodega, the carrier and customs authorities where information or documentation is required to complete delivery.
Carrier tracking records, signatures, one-time delivery codes, proof-of-delivery records and written delivery acknowledgements may be used as evidence of delivery to the address, customer or authorized recipient identified in the order.
SECTION 6 - INTELLECTUAL PROPERTY
Except for third-party trademarks, brand names, logos and other intellectual property belonging to their respective owners, the content created by or for Wadi Bodega, including Wadi Bodega's own branding, original text, photography, graphics, videos and website content, is owned by or licensed to Wadi Bodega and is protected by applicable intellectual property laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants or shall be construed as granting a license or other rights to you under any patent, trademark, copyright, or other intellectual property of Wadi Bodega, or any third party. Unauthorized use of the Services may be a violation of intellectual property laws. All rights not expressly granted herein are reserved by Wadi Bodega.
Wadi Bodega’s names, logos, product and service names, designs, and slogans are trademarks of Wadi Bodega or its affiliates or licensors. You must not use such trademarks without the prior written permission of Wadi Bodega. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.
SECTION 7 - OPTIONAL TOOLS
You may be provided with access to customer tools offered by third parties as part of the Services, which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of the optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new features through the Services (including the release of new tools and resources). Such new features shall also be deemed part of the Services and are subject to these Terms of Service.
SECTION 8 - THIRD-PARTY LINKS
The Services may contain materials and hyperlinks to websites provided or operated by third parties (including any embedded third party functionality). We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third party sites, you do so at your own risk.
We are not liable for any harm or damages related to your access of any third-party websites, or your purchase or use of any products, services, resources, or content on any third-party websites. Please review carefully the third-party's policies and practices and make sure you understand them before you engage in any transaction. Complaints, claims, concerns, or questions regarding third-party products and services should be directed to the third-party.
SECTION 9 - RELATIONSHIP WITH SHOPIFY
Wadi Bodega is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Wadi Bodega. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Wadi Bodega, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Wadi Bodega.
SECTION 10 - PRIVACY POLICY
Personal information collected through the Services is processed in accordance with our Privacy Policy and applicable data-protection laws and regulations. Shopify and other service providers may process personal information to the extent necessary to provide the Services, including through lawful cross-border processing or transfers where applicable. Further information regarding the categories of personal data we process, the purposes of processing, recipients, retention, transfers and customer rights is provided in our Privacy Policy.
SECTION 11 - FEEDBACK
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, feedback, reviews, proposals, plans, or other content (collectively, “Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including for commercial use. We may, for example, use our rights under this license to operate, provide, evaluate, enhance, improve and promote the Services and to perform our obligations and exercise our rights under the Terms of Service.
You also represent and warrant that: (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with your submission of Feedback; and (iii) your Feedback will comply with these Terms. We are and shall be under no obligation (1) to maintain your Feedback in confidence; (2) to pay compensation for your Feedback; or (3) to respond to your Feedback.
We may, but have no obligation to, monitor, edit or remove Feedback that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
You agree that your Feedback will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your Feedback will not contain libelous or otherwise unlawful, abusive or obscene Feedback, or contain any computer virus or other malware that could in any way affect the operation of the Services or any related website. You may not use a false email address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any Feedback. You are solely responsible for any Feedback you make and its accuracy. We take no responsibility and assume no liability for any Feedback posted by you or any third-party.
SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS
We reserve the right to correct typographical errors, inaccuracies or omissions in the Services. Where a material error is identified before an order is accepted, Wadi Bodega may correct the error or decline the affected order. Where a material error is identified after a contract has been concluded, Wadi Bodega will address the matter in accordance with applicable law. Nothing in this Section permits Wadi Bodega to unilaterally remove or restrict rights already acquired by a customer where applicable law does not permit it.
SECTION 13 - PROHIBITED USES
You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any regulations, rules, laws, or local ordinances; (c) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any of our employees or any other person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re-use any material that does not comply with the these Terms; (g) to transmit, or procure the sending of, any advertising or promotional material, including any “junk mail,” “chain letter,” “spam,” or any other similar solicitation; (h) to impersonate or attempt to impersonate any other person or entity; or (i) to engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm Wadi Bodega, Shopify or users of the Services, or expose them to liability.
In addition, you agree not to: (a) upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell or exploit any portion of the Services; (c) collect or track the personal information of others; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent the security features of the Services or any related website, other websites, or the Internet. We reserve the right to suspend, disable, or terminate your account at any time, without notice, if we determine that you have violated any part of these Terms.
SECTION 14 - TERMINATION
Subject to applicable law, Wadi Bodega may suspend or terminate a customer's access to the Services or customer account where reasonably necessary because of a material breach of these Terms, suspected fraud or unlawful activity, misuse of the Services, security concerns or other legitimate grounds. Any suspension or termination does not affect rights or obligations relating to an order already accepted, except where cancellation or other action is permitted by these Terms or applicable law.
The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive termination.
SECTION 15 - DISCLAIMER OF WARRANTIES
Nothing in these Terms excludes, restricts or limits any rights, warranties, remedies or protections that cannot lawfully be excluded under the laws and regulations of the Kingdom of Saudi Arabia.
Products are supplied in the condition expressly described and depicted in the applicable product listing, subject to the provisions of Section 2. For pre-owned, vintage or collectible products, characteristics consistent with their expressly disclosed age, condition and prior use should be expected.
Except where expressly stated in a product listing or required by applicable law, Wadi Bodega does not provide or extend a manufacturer's warranty and does not warrant that a pre-owned, vintage, discontinued or collectible product will perform to the manufacturer's original specifications.
Wadi Bodega does not warrant that access to the website will at all times be uninterrupted, error-free or free from technical disruption.
SECTION 16 - LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Wadi Bodega shall not be liable for indirect, incidental or consequential losses that were not reasonably foreseeable at the time of contracting, or for loss or damage resulting from the customer's misuse of a product, failure to follow applicable care instructions, provision of materially inaccurate information, unauthorized alteration or repair of a product, or circumstances for which Wadi Bodega is not legally responsible.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability arising from fraud, gross fault, or any mandatory consumer right or other liability that may not lawfully be excluded.
SECTION 17 - INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless Wadi Bodega Establishment, its representatives, service providers and agents from third-party claims, losses, liabilities or reasonable costs arising directly from:
(a) your unlawful or fraudulent use of the Services;
(b) your material breach of these Terms;
(c) your violation of applicable law or the rights of a third party; or
(d) information or content unlawfully supplied by you.
Wadi Bodega will provide reasonable notice of any claim for which indemnification is sought and may reasonably control the defence or settlement of such claim, subject to applicable law.
SECTION 18 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 19 - WAIVER; ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and governs your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
SECTION 20 - ASSIGNMENT
You may not delegate, transfer or assign this Agreement or any of your rights or obligations under these Terms without our prior written consent, and any such attempt will be null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.
SECTION 21 - GOVERNING LAW AND JURISDICTION
These Terms of Service and any separate agreements relating to the Services shall be governed by and construed in accordance with the laws and regulations of the Kingdom of Saudi Arabia. Any dispute arising out of or relating to these Terms or the Services shall be subject to the competent authorities and courts of the Kingdom of Saudi Arabia.

The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.

We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes to our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes to these Terms in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of any changes to these Terms of Service constitutes acceptance of those changes.
